On the instructions from our client M/s. HILLCREST REALTY SDN. BHD., a Malaysian based company, which is holding 97% Capital of M/s. Hotel Queen Road Private Limited, it is hereby notified for information of  general  public / tour operators / travel agents / potential customers / other interested parties that a dispute with regard to the Ownership Control and Management of M/s. Hotel Queen Road Private Limited is pending before the Hon'ble Division Bench of Delhi High Court Vide FAO(OS) 282/2005 & connected Company Appeals being C.A. Nos. 4, 5 and 10 of 2006.

That the Hon'ble Division Bench of Delhi High Court has vide its order dated 18.05.2006, upon an application being CM No. 5995/2006, filed by our client, in pending FAO (OS) No. 282/2005 has inter-alia directed as under:

    "... There shall be no transfer and no creation of third party interest in respect of the hotel in question without the leave of this court and until further orders of this court...."

In view of what is stated above, it may be noted that the issue of OWNERSHIP, CONTROL AND MANAGEMENT of Hotel Queen Road Private Limited is pending before the Hon'ble Delhi High Court, where it is the case of the Clients of the Undersigned is that Mr. R.P.Mittal (One of the Director of M/s. Hotel Queen Road Private Limited), holds only 2 equity shares of Rs. 10 each, apart from which the other illegal allotments and the transfer taken place after April 2004 is disputed and are under challenge in the litigation mentioned above.

Mr. R.P. Mittal (One of the Directors of M/s. Hotel Queen Road Private Limited) is trying to mislead tour operators / travel agents and potential customers with malafide purpose to misuse advance booking deposits and advance tariff for the Hotel Rooms without having the requisite legal permissions from various Government Departments. The said Mr. R.P. Mittal is also trying to induce the potential customers by false promises of the opening of the Hotel very shortly even without requisite permissions.

Any commitment / arrangement for bulk booking / leasing of hotel rooms for long duration with a tour / travel operators will be a creation of third party interest which will amount to contempt of the order of the Hon'ble Division Bench (quoted above).

Thus, anybody entering into any agreement / arrangement for bulk booking / leasing of hotel rooms, leasing of banquet hall / restaurant etc. or anyone dealing with said Mr. R.P. Mittal his nominees / authorized representatives etc. in any manner will be doing so at his / their own peril , cost and consequences.

It is hereby further made clear that any agreement / arrangement / advance deposit of money for hotel rooms, banquet hall, restaurant etc. so entered by said Mr. R.P. Mittal on behalf of the Company (Hotel Queen Road Private Limited) will be without authority and shall not be binding on our client HILLCREST REALTY SDN.BHD. As being nonest in eyes of law.

Further, it is made clear that in event of M/s. HILLCREST REALTY SDN. BHD., (holding 97% Capital of M/s. Hotel Queen Road Private Limited) coming into the management of the Company, it will be at liberty to ignore the arrangements / commitments made by the said Mr. R.P. Mittal on behalf of the Company, which is being nonest in eyes of law.
